Pontus Unveils Design Of Packaging For First Product

VANCOUVER, B.C., February 24, 2021. Pontus Protein Ltd. (TSXV: HULK, FSE: 8YC) (“Pontus” or the “Company”), in a move to bring the Company’s first product to market, is pleased to unveil the design for their Pontus Plant Protein packaging.

Pontus’ goal was to create an easy-to-use sachet to build brand awareness, enable shopper visibility and encourage initial sampling of our Pontus Plant Protein product. The initial products we produced are being used as industrial samples and for early investors. Each sachet contains 5 grams of Pontus’ 42% protein powder for an on-the-go protein mixed into water or smoothies or for take-home trial. Pontus aims to distribute these retail-ready sachets to local and national retailers across Canada and the U.S. In the coming months, we are excited to announce that customers will be able to purchase sachets online directly from Pontus’ website and other online retail platforms.

As a sustainable aquaponic food company currently focusing on plant based protein, Pontus is committed to helping consumers create nutritious and delicious food and beverages. Pontus’ protein powder is the backbone of the Company’s initial product range due to the flexible way it can be used to enrich a wide variety of foods. Pontus Announces Acquisition Of EPHÉMÈRE Supreme Club To Vertically Integrate Product Development

VANCOUVER, B.C. – February 17, 2021 – Pontus Protein Ltd. (“Pontus” or the “Company“) (TSXV: HULK FSE: 8YC) is pleased to announce that it has entered into a definitive agreement dated February 16, 2021 (the “Definitive Agreement”) to acquire all of the issued and outstanding shares of Ephemere Catering & Consulting Inc. (“Ephémère“).

Ephémère currently provides catering and product consultation services to its customers and through its Ephémère Supper Club, operates private dining experiences. With this strategic acquisition, Pontus will strengthen its product development and food education program to create value-added functional foods and develop the Company’s top line growth by expanding its customer base and creating a deeper market need for Pontus Protein.

Following the completion of the acquisition, Ephémère’s Culinary Director, Shahni Arshad, will assume the role of Pontus’ Culinary Director and Head Chef and be responsible for development of recipes and products incorporating Pontus Protein. Furthermore, Pontus is pleased to announce that Ephémère’s Consultant, Gianni Picchi, will provide ongoing consultancy services for Pontus. Mr. Picchi is a world-renowned restaurateur and formerly head chef at Winston’s in Toronto, the iconic Banff Springs Hotel, Chateau Victoria and most recently, Il Giardino in Vancouver. Through Ephémère, Mr. Arshad has built a reputation for creating innovative dishes for clients and will, subject to the completion of the acquisition, be the primary point of contact for companies in the food and beverage industry looking to enrich their products with Pontus Protein and other products that Mr. Arshad and Mr. Picchi will create.

Furthermore, Mr. Arshad and Mr. Picchi will continue build out Ephémère’s meal kit delivery service, which will primarily include the incorporation of Pontus’ current and future products in various formulations. Pontus anticipates the meal kit delivery system will be a significant revenue driver for the Company, as this sector has experienced significant growth over the last year, particularly in light of the decline in people attending restaurants and instead choosing to eat at home. Mr. Arshad’s experience running commissaries will be well suited to his new role with the Company and the Company’s growth.

Transaction Details

Pursuant to the terms of the Definitive Agreement, Pontus will acquire all of the issued and outstanding shares in the capital of Ephémère (the “Purchased Shares”) from the arm’s length shareholders of Ephémère (the “Vendors”) in exchange for the issuance of an aggregate 4,000,000 common shares of Pontus (the “Payment Shares”). The number of Payment Shares that each of the Vendors shall receive upon closing of the acquisition will be in proportion to the number of Purchased Shares such Vendor owns against the aggregate number of Purchased Shares. Closing of the proposed acquisition is subject to customary conditions, including the receipt of all necessary approvals and consents and TSX Venture Exchange approval. No finder’s fees are payable in connection with the acquisition.

Pontus Submits Building Permit Application For Surrey Aquaponics Facility

VANCOUVER, BC – February 3, 2021 – Pontus Protein Ltd. (“Pontus” or the “Company”) (TSX-V: HULK), is pleased to announce it has made significant progress towards the development of its state of the art, integrated aquaponics facility located in Surrey, British Columbia, Canada (the “Facility”).

The Company has submitted a construction application to the City of Surrey for its 20,570 square foot. aquaponics facility. The approval process is estimated to be completed within 6 weeks and is expected to be followed by the immediate commencement of construction of the Facility’s leasehold improvements. Accordingly, the leasehold improvements are to consist of a complete retrofit of the Facility to establish Pontus’ solar-powered, water recycling CEVASTM aquaponic system. The installation of all required equipment for the growth and production is forecasted to take between four and six months to complete. Upon completion, the Facility will be approximately 20 times the size of Pontus’ prior prototype facility. The prototype facility has been used to test and develop the technology for the Company’s proprietary growing process.

The Facility (see image 1 and video) will utilize an array of additional technologies to create a clean and sustainable aquaponics ecosystem. Solar energy panels will be installed to capture renewable energy and power the closed-loop water system, which recycles up to 95% of all water inputs. The implementation of the Facility’s unique, sustainable technology in conjunction with Pontus’ proprietary CEVAS™ automated growth technology will allow the Company to emphasize biosecurity in its agricultural production processes, removing the need for additional chemicals, pesticides, and other non-native components.
